PragmaGO opens subscription for 3-year series C1 corporate bonds

PragmaGO is launching an offering of 3-year unsecured bonds bearing an interest rate of 10.94%* (variable interest rate, based on WIBOR 3M plus a margin of 5.30 percentage points). The bonds will be listed on the WSE’s Catalyst regulated market. Subscriptions will be accepted from November 13 to 24, 2023.

This is our first offering under the Fourth Public Bond Issuance Program. In series C1, we plan to raise PLN 20 million. Despite the challenging macroeconomic situation and stagflation, we continue to develop both factoring and innovative embedded finance products in the B2B segment. We have a good financial performance – we maintain a stable portfolio and risk at a safe level

– says Jacek Obrocki, Vice President of the Management Board of PragmaGO.

*Example calculation of interest rates on bonds per year. The calculation assumes the value of the WIBOR rate for 3-month zloty loans on the Polish interbank market (WIBOR 3M), which was 5.64% on 6.11.2023. The actual interest rate on the Series C1 bonds (the “Bonds”) in the first interest period will be determined on the basis of the WIBOR prime rate for 3-month PLN loans as of 21.11.2023, plus a margin of 5.30 percentage points as indicated in the Final Terms of the Bonds. In subsequent interest periods, the actual prime rate and thus the interest rate on the Bonds may be higher, lower or remain at the same level as in the example shown. This material is for promotional (advertising) purposes only. The only legally binding documents containing information about the Issuer and the Public Offering of the Series C1 Bonds issued under the Issuer’s Fourth Public Bond Issuance Program (the “Bonds”) are the Base Prospectus for the Unsecured Bonds, which consists of a set of documents, namely. Registration Document and Unsecured Bonds Offering Document, published on September 18, 2023 (the “Prospectus”), together with supplements and update communications to the Prospectus, and the Final Terms of Issuance of the Bonds published on November 10, 2023 (the “OWE”). The Registration Document is available on the Issuer’s website at: https://pragma.link/DRPragmaGOIVPEO. The Unsecured Bonds Offering Document is available on the Issuer’s website at: https://pragma.link//DOONPragmaGOIVPEO. OWE is available on the Issuer’s website at: https://pragma.link/OWEPragmaGOC1. In addition, for information purposes, the Prospectus and OWE are available on the Investment Company’s website: www.bdm.pl. The approval of the Prospectus by the Financial Supervisory Commission should not be construed as an endorsement of the Bonds. Potential investors should read the Prospectus together with the supplements and update communications to the Prospectus before making an investment decision in order to fully understand the potential risks and benefits associated with the decision to invest in the Bonds. In particular, investors’ attention is drawn to the fact that the Bonds are not bank deposits (placements) and are not covered by the deposit guarantee scheme. Subscriptions for the Bonds will be accepted by Dom Maklerski BDM S.A. and participants in the distribution syndicate.
